Questions
These terms govern your use of richrick.com and the research services Rich Rick Inc provides. Read section 12 closely: it limits what we owe you if something goes wrong. A signed proposal or statement of work sits on top of these terms and wins wherever the two disagree.
01. These terms
Rich Rick Inc is a Virginia corporation at 8631 Namozine Rd, Amelia Court House, VA 23002. Throughout this page "we" means Rich Rick Inc and "you" means the person or organisation reading the site or buying our services.
By browsing richrick.com you accept sections 2, 11, 12, 13 and 15. By signing a proposal, sending written approval to proceed, or paying our first invoice, you accept all of them. Where a signed statement of work, master services agreement or non-disclosure agreement says something different, that document governs the point.
02. Using this website
Everything on this site is general information about our services. It is not investment, legal, accounting or tax advice, and no figure or statement here is a promise of a commercial result. You may read, print and share these pages. You may not scrape them at volume, copy the text into another company’s site, or present our material as your own.
The Rich Rick Inc name, the wordmark and the page designs belong to us. Third-party names mentioned in our research belong to their owners and appear for identification.
03. How an engagement starts
We scope work after a call. You then receive a written proposal setting out the research question, the method, what you receive, the fee, the schedule and the assumptions behind them. Work begins when you accept the proposal in writing and, where the proposal asks for one, pay the deposit.
A proposal stays open for 30 days. Nothing you send us before acceptance, including a brief or a budget figure, obliges either side to proceed.
04. Fees, invoices and expenses
Fixed-fee projects. 50% on acceptance and 50% on delivery, unless the proposal sets out different milestones.
Retainers and tracking. Invoiced monthly in advance, running month to month with 30 days written notice to stop.
Payment terms. Net 15 days from the invoice date. Late balances carry interest at 1.5% per month, or the maximum the law allows if that is lower, plus reasonable collection costs.
Expenses. Database licences, panel and incentive payments, transcription and travel are charged at cost and only with your prior written approval.
Taxes. Fees exclude sales, use and similar taxes, which you pay where they apply.
05. What we need from you
Research runs on access. You agree to give us the internal data, systems access and introductions the proposal names, to answer questions within a reasonable time, and to name one person who can approve decisions on your side. You confirm that any customer list or dataset you hand us was collected lawfully and that you may share it with us for this purpose.
Where your delay stops work for more than 15 business days, we may reschedule the project into our next available window and invoice for work completed to that point.
06. Changes to scope
New questions arrive mid-project. Small additions that cost us under two hours, we absorb. Anything larger goes in writing as a change order with its own fee and revised dates, and we continue only once you approve it. We will tell you the cost before the work happens, never after.
07. Deliverables and ownership
Once you have paid in full, you own the deliverables prepared for you: the report, the models, the data tables and the recommendations. You may use them inside your business, share them with your advisers and investors, and build on them without further payment.
We keep ownership of our methods, templates, question banks, code and general know-how, including anything we improve while working for you. We also keep the right to use anonymised, aggregated findings for internal benchmarks, provided nothing identifies you, your customers or your pricing.
Third-party data we licence for your project reaches you under the licence terms of the provider, which we set out in the deliverable. Those terms sometimes limit redistribution, and we flag the limit before we use the source.
08. Confidentiality
Each side keeps the other’s confidential information private, uses it only for the engagement, and protects it with at least the care it applies to its own. The duty lasts 5 years after the engagement ends, and indefinitely for trade secrets.
It does not cover information that is already public, that the receiving side already held, that arrives lawfully from a third party, or that the law or a court requires us to disclose. Where a disclosure is compelled, we tell you first unless we are barred from doing so.
09. Independence and conflicts
We work for several companies in the same broad industry, which is part of what makes our reads useful. We will not take a project that requires us to use your confidential information for a competitor, and we screen for that conflict before we quote. If you need category exclusivity for a period, we can agree it in the statement of work for an agreed fee.
We report what the evidence shows. We will not shape a finding to support a decision that has already been made, and we will say so in writing when the data contradicts your plan.
10. Research limits
Market sizing, share estimates and forecasts are informed estimates built from the sources named in the deliverable. Interviews and surveys capture what participants said at a moment in time. Third-party databases carry their own errors, and we tell you when a figure rests on one of them.
Every deliverable states its method, sample and assumptions. Change an assumption and the number changes with it. We stand behind our method and our sourcing; we cannot guarantee revenue, market share, funding or any other commercial outcome, and you remain responsible for the decisions you take.
11. Publicity
We will not name you as a client, publish your logo or describe your project without your written permission. When you give it, you may withdraw it later and we will remove the reference from our site within 30 days.
12. Warranties and liability
We warrant that we perform the services with the skill and care of a competent professional in this field, and that the deliverables are our original work apart from licensed sources we identify. Beyond that, we provide the site and the services as they are, and we disclaim implied warranties of merchantability and fitness for a particular purpose to the extent the law allows.
Neither side is liable for indirect, incidental, special or consequential loss, or for lost profits, revenue, data or business opportunity, however it arises. Our total liability for any claim connected with an engagement is capped at the fees you paid us for that engagement in the 12 months before the claim arose.
These limits do not apply to a breach of confidentiality, to our indemnity below, or to fraud, wilful misconduct or anything else the law does not allow us to limit.
13. Indemnities
We will defend and cover you against a third-party claim that a deliverable we created infringes their copyright or trade secret, provided you tell us promptly and let us handle the defence.
You will defend and cover us against a third-party claim arising from data you supplied, from your use of a deliverable outside the scope we agreed, or from your breach of a licence attached to third-party data.
14. Termination
Either side may end an engagement with 30 days written notice. Either side may end it immediately if the other breaches these terms in a material way and fails to fix the breach within 15 days of written notice.
On termination you pay for work performed and expenses committed up to that date, and we hand over the material completed so far in its current state. Sections 7, 8, 11, 12, 13 and 15 survive the end of the engagement.
15. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of laws rules. Before filing anything, both sides agree to spend 30 days trying to settle the dispute directly, starting with a call between the people who signed.
If that fails, the state and federal courts serving Amelia County, Virginia have exclusive jurisdiction, and both sides consent to venue there. Each side pays its own costs unless a court orders otherwise.
16. General
Independent contractor. We work as an independent contractor. Nothing here creates a partnership, joint venture, agency or employment relationship.
Force majeure. Neither side is liable for delay caused by events beyond reasonable control, though timelines shift accordingly and either side may terminate if the delay passes 60 days.
Assignment. Neither side may assign an engagement without written consent, except to a successor in a merger or sale of substantially all assets.
Severability. If a clause is unenforceable, the rest stays in force and the clause is read as narrowly as needed to make it valid.
Entire agreement. These terms plus the signed proposal and any non-disclosure agreement form the whole agreement and replace earlier discussions.
Changes. We may update these terms for future engagements and will post the new effective date here. Changes do not alter an engagement already under way.
